Welcome to CareShift. These Terms of Service ("Terms") govern your use of the CareShift website, mobile application, and services (collectively, the "Service") operated by NG Technologies ("we", "us", or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

1. Description of Service

CareShift provides GPS-verified time tracking software for businesses managing mobile workforces, including but not limited to caregivers, home health aides, and field service workers. The Service includes:

• Employee time clock functionality (clock in/out)
• GPS location verification
• Manager dashboard and reporting
• Payroll calculation tools
• Mobile applications

2. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3. Subscription and Payment

Some features of the Service require a paid subscription. By subscribing, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide valid payment information
• Authorize us to charge your payment method on a recurring basis

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings. Refunds are provided at our sole discretion.

4. Free Trial

We may offer a free trial period. At the end of the trial, your account will be converted to a paid subscription unless you cancel before the trial ends. We reserve the right to modify or discontinue free trials at any time.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit harmful code, viruses, or malware
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service for any fraudulent purpose
• Collect data about other users without consent

6. GPS and Location Data

The Service uses GPS and location data to verify employee clock-in/out locations. You acknowledge that:

• GPS accuracy varies based on device, environment, and conditions
• Location verification is provided as a tool, not a guarantee
• You are responsible for obtaining consent from employees for location tracking
• We are not liable for inaccuracies in GPS data

7. Data Accuracy and Payroll

While we strive for accuracy, the Service is a tool to assist with time tracking and payroll calculations. You acknowledge that:

• You are solely responsible for verifying the accuracy of all time records
• You are responsible for compliance with all labor laws and regulations
• We are not liable for payroll errors, tax miscalculations, or compliance issues
• The Service does not replace professional payroll or legal advice

8. Intellectual Property

The Service and its original content, features, and functionality are owned by NG Technologies and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

9. User Content

You retain ownership of any data you submit to the Service ("User Content"). By submitting User Content, you grant us a license to use, store, and process it solely for the purpose of providing the Service. You represent that you have the right to submit all User Content.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NG TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless NG Technologies and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

14. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. You may request export of your data within 30 days of termination.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

16. Governing Law

These Terms shall be governed by the laws of the State of Washington, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Snohomish County, Washington.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
